1. Agreement to Terms

Welcome to RiverPrice! These Terms of Service ("Terms") constitute a legally binding agreement between you and Adorop Inc. ("RiverPrice," "we," "us," or "our") governing your use of the RiverPrice website at riverprice.com and all related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

RiverPrice is a price tracking and alert service that helps you monitor Amazon product prices across multiple regions. Our Service includes:

• Historical price data and charts for Amazon products
• Price drop alerts when products reach your target price
• Product tracking across multiple Amazon regions (US, UK, DE, FR, JP, CA, IT, ES, IN, MX)
• Email notifications for price changes and alerts
• Dashboard to manage your tracked products and alerts

RiverPrice is currently provided as a free service. We reserve the right to introduce paid features or subscription plans in the future with advance notice to users.

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 13 years old to use our Service. If you are under 18, you represent that you have your parent's or guardian's permission to use the Service.

3.2 Account Creation

To use certain features of the Service, you must create an account. You can create an account by:

• Signing in with Google OAuth
• Using magic link authentication (passwordless email login)

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.4 One Account Per User

You may only create one account per email address. Creating multiple accounts to circumvent Service limitations is prohibited.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
• Use the Service to transmit any harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable material
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, servers, or networks
• Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Remove, circumvent, disable, damage, or otherwise interfere with security-related features of the Service
• Use the Service to spam, phish, or send unsolicited communications
• Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
• Overload or attempt to overload our systems with excessive requests or alerts
• Use the Service to compete with us or create a similar or competitive service

5. Price Data and Alerts

5.1 Price Data Accuracy

Price data is sourced from third-party providers (Keepa API) and Amazon. While we strive to provide accurate and up-to-date information:

• Price data may be delayed or inaccurate
• Prices on Amazon may change after our last update
• We do not guarantee the accuracy, completeness, or timeliness of any price information
• You should always verify current prices on Amazon before making a purchase

5.2 Price Alerts

Our price alert system operates as follows:

• Alerts are checked daily via automated cron jobs
• You will receive an email notification when your target price is reached
• Alerts are automatically deactivated after triggering (one-time alerts)
• You must create a new alert to continue monitoring a product
• We do not guarantee that alerts will trigger exactly when prices change
• Email delivery may be delayed or fail due to technical issues or email provider restrictions

5.3 No Purchase Guarantee

RiverPrice is an informational service only. We do not:

• Sell products or process transactions
• Guarantee product availability at any price
• Guarantee that you will be able to purchase products at the alerted price
• Have any control over Amazon's pricing, inventory, or policies

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by Adorop Inc., its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

6.3 Trademarks

RiverPrice and all related logos are trademarks of Adorop Inc. You may not use our trademarks without our prior written permission.

6.4 Third-Party Content

Product images, descriptions, and other content sourced from Amazon remain the property of Amazon and their respective owners. We do not claim ownership of such third-party content.

7. User Content and Feedback

7.1 User Content

"User Content" includes any data you provide to the Service, such as:

• Product links and ASINs you track
• Target prices and alert preferences
• Notes or comments on tracked products

You retain ownership of your User Content but grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content to provide and improve the Service.

7.2 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service ("Feedback"), you grant us the right to use such Feedback without any obligation to you. We may incorporate Feedback into our Service without restriction or compensation.

8. Third-Party Services and Links

8.1 Third-Party Links

Our Service may contain links to third-party websites or services that are not owned or controlled by RiverPrice. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third-party content, goods, or services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, ADOROP INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICE
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF PRICE DATA
• WARRANTIES THAT PRICE ALERTS WILL FUNCTION AS EXPECTED

WE DO NOT WARRANT THAT:

• The Service will meet your requirements
• The Service will be available at any particular time or location
• Any defects or errors will be corrected
• The Service is free of viruses or other harmful components

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ADOROP INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Loss of business opportunity
• Personal injury or property damage
• Failure to receive price alerts
• Inaccurate price information
• Inability to purchase products at expected prices

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED $100 CAD OR THE AMOUNT YOU HAVE PAID US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to defend, indemnify, and hold harmless Adorop Inc., its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use or misuse of the Service
• Your violation of any third-party rights, including intellectual property rights
• Your User Content
• Any harm caused to third parties through your use of the Service

12. Service Modifications and Termination

12.1 Modifications

We reserve the right to:

• Modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice
• Change features, functionality, or availability of the Service
• Impose limits on certain features or restrict access to parts or all of the Service
• Introduce paid features or subscription plans in the future

We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

12.2 Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• At our sole discretion

12.3 Termination by You

You may terminate your account at any time by contacting us at hello@riverprice.com. Note that we currently do not offer an automated account deletion feature.

12.4 Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• All active price alerts will be deactivated
• We may delete your account data in accordance with our data retention policies
• Provisions of these Terms that should survive termination will remain in effect

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of Canada and the province in which Adorop Inc. is registered, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

• Informal Resolution: First, contact us at hello@riverprice.com to attempt to resolve the dispute informally
• Mediation: If informal resolution fails, the parties agree to attempt mediation before pursuing litigation
• Jurisdiction: If mediation fails, disputes shall be resolved in the courts of Canada

13.3 Class Action Waiver

To the extent permitted by law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Adorop Inc. regarding the Service and supersede all prior agreements.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, internet outages, or third-party service failures.

14.6 Notices

We may provide notices to you via email, posting on the Service, or other reasonable means. You agree that electronic notices satisfy any legal requirement that notices be in writing.

14.7 Relationship of Parties

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Adorop Inc.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Updating the "Last Updated" date at the top of these Terms
• Posting the new Terms on the Service
• Sending an email notification (for significant changes)

Your continued use of the Service after any changes indicates your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.
